Shipper Booking Confirmation

When you select a carrier, you authorize Throughline (a licensed freight broker, not the carrier) to book that carrier for this load at the rate shown. The amount is a binding commitment for this load; cancelling after you authorize may incur truck-ordered-not-used or cancellation charges. Throughline arranges transportation — cargo claims are against the carrier under the Carmack Amendment, and we will assist. This confirmation is part of, and governed by, the Terms of Service and Refund Policy. The numbered sections control.

This Booking Confirmation (the "Confirmation") applies to the single load you are authorizing now. By selecting a carrier and confirming, you (the "Shipper") instruct Throughline Systems LLC ("Throughline Systems") to arrange transportation of this load with the carrier you selected, on the terms below. This Confirmation is incorporated into, and governed by, the Throughline Systems Terms of Service and Refund Policy; capitalized terms used but not defined here have the meanings given there.

1. What you are authorizing

You authorize Throughline Systems to book the carrier you selected for this load and to issue a rate confirmation to that carrier on your behalf. Throughline Systems is a licensed FMCSA property broker (MC-1819296 / USDOT 4573052); it arranges transportation and is NEVER the motor carrier of record for your freight.

Selecting a carrier and confirming is an affirmative authorization to dispatch this load. We rely on it to commit the carrier — please confirm the lane, dates, equipment, and rate before you accept.

2. The rate is a binding commitment for this load

The total shown for this booking is the agreed charge for this load, subject only to accessorials and adjustments that actually occur (e.g., detention, lumper, reweigh, layover) as documented and as provided in the Terms of Service and Refund Policy. Freight charges are pass-through amounts that fund transportation by an independent carrier and become payable when the load is tendered, booked, or performed.

3. Cancellation, TONU, and changes

AFTER YOU AUTHORIZE THIS BOOKING, CANCELLING OR MATERIALLY CHANGING THE LOAD MAY INCUR TRUCK-ORDERED-NOT-USED (TONU), CANCELLATION, OR ACCESSORIAL CHARGES OWED TO THE CARRIER, WHICH ARE YOUR RESPONSIBILITY.

If you need to cancel or change a booked load, tell us as soon as possible at info@THLTrucking.com. We will work to minimize charges, but a carrier that has already been dispatched or has arrived for pickup may be owed a TONU or cancellation fee. Freight charges for a load already tendered to or performed by a carrier are generally non-refundable (see the Refund Policy).

4. Cargo loss, damage, or delay

Because Throughline Systems is a broker and not the carrier, liability for cargo loss, damage, or delay rests with the motor carrier under the Carmack Amendment (49 U.S.C. § 14706) and the carrier's tariff and insurance. You agree to pursue cargo claims against the carrier; Throughline Systems will provide the carrier's identity, insurance, and documentation and will reasonably assist, but does not insure the cargo or assume carrier liability. Report any loss or damage promptly and note it on the delivery receipt / proof of delivery.

5. Accurate information

You confirm that the commodity, weight, dimensions, hazardous-materials status, pickup and delivery details, and special requirements for this load are accurate and complete. Misdescribed or undisclosed freight (including hazmat, overweight, or high-value cargo) can void coverage and create reweigh, reclassification, or accessorial charges, which are your responsibility.

6. Payment

You pay Throughline Systems for this load per the Terms of Service and your invoice; Throughline Systems pays the carrier. Amounts owed for a load you authorized remain due even if you later cancel, to the extent a carrier or accessorial charge has accrued. Billing questions go to info@THLTrucking.com.

7. Governing terms

This Confirmation is part of the Throughline Systems Terms of Service and Refund Policy and is governed by the law of the State of Michigan, with venue and dispute-resolution as stated in the Terms of Service.
